Terms of Service

The terms for using Nryl’s website, AI-assisted course creation tools, and related services.

Effective date: October 19, 2026 · Version 1.0

Read our Privacy Policy

1. Who these terms apply to

Nryl is operated by Engynn Technologies Ltd., based in Edmonton, Alberta, Canada (“we,” “us,” or “our”). These Terms apply to nryl.io, app.nryl.io, and the Nryl services we make available (“Service”). “You” means the individual using the Service or, where you act with authority for an organization, that organization. You must be at least 18 and legally able to enter into an agreement to create an account.

By accepting these Terms or using the Service after being given notice of them, you agree to them to the extent permitted by applicable law. If you do not agree, do not use the Service. If you act for an organization, you represent that you have authority to bind it. A separately signed agreement takes precedence over these Terms only to the extent of a conflict. Our Privacy Policy explains our handling of personal information; it is not consent to unrelated data uses.

2. Accounts and organization access

Provide accurate account and billing information, protect your credentials, and promptly tell us about suspected unauthorized use. Do not share an individual login or use someone else’s account without permission. You are responsible for activity you authorize and for your organization’s users following these Terms.

Organization owners can manage invitations and billing, and members may share workspace content and credits. Do not treat an employer’s or client’s workspace as a private personal account. Access may depend on email verification, signup approval, and the organization’s current plan.

3. Access, plans, and service scope

We grant you a limited, non-exclusive right to use the Service for your lawful business or personal training activities while you comply with these Terms and applicable plan limits. You may create training for your own organization or clients. This does not grant a right to resell access to our software, circumvent limits, or copy our platform.

The features, allowances, currency, price, and billing interval displayed in your plan and checkout apply to your purchase. Marketing examples, prototypes, roadmaps, and planned features are not a commitment to deliver a particular capability or date. Do not purchase based on an unshipped feature. Beta features can change or be withdrawn and may have additional limitations. No uptime guarantee, dedicated support response time, or service-level agreement applies unless separately agreed in writing.

4. Subscriptions, renewal, and payment

Paid subscriptions renew automatically for the billing interval shown at checkout unless canceled before renewal. By subscribing, you authorize the disclosed recurring charges through our payment provider, Stripe. Applicable taxes may be charged in addition to the displayed price, as disclosed before purchase. You are responsible for any taxes legally payable by you.

The organization’s billing owner can manage payment methods, invoices, plan changes, and cancellation through the billing controls and Stripe Customer Portal. If you cannot access those controls, contact support@engynn.com. Cancellation normally stops the next renewal and preserves paid access until the end of the paid period. Canceling a subscription does not itself delete your account or content.

Upgrades may involve a prorated charge shown before confirmation; downgrades normally take effect at the next billing period. Failed or overdue payment can pause new generation and reduce plan access. Existing content is not automatically deleted merely because a payment fails or you downgrade. A reduction in plan limits may restrict new creation or additional team-member access.

Fees are non-refundable for unused time or credits except where required by law, stated in a specific offer, or agreed by us. This does not limit mandatory cancellation rights or remedies for services we fail to supply. Contact us about incorrect charges or refund requests; refunds are not automatic. We will give advance notice of subscription price changes, which will apply no earlier than a future renewal, allowing you to cancel before the changed price takes effect.

5. Credits and usage limits

Production allowances and credits are shared and renewed as described in the applicable plan. Unless expressly stated otherwise, unused recurring credits do not roll over. Credits measure permitted service usage, are not money or stored value, and cannot be transferred or redeemed for cash. Provider costs and usage measurements may be estimates; credit limits are not a guarantee of an exact quantity of generated content or a strict cap on already-running requests.

Generation, retries, and regeneration can consume credits as disclosed by the Service. We may restrict requests when a balance is exhausted or payment entitlement cannot be confirmed. We do not impose automatic usage-overage charges unless you separately agree to them. Do not evade allowances by sharing credentials, creating abusive duplicate accounts, or bypassing technical controls.

6. Your content and intellectual property

As between you and us, you retain your rights in materials you submit, including source files, prompts, course information, scripts, logos, and other customer content. You must have the rights, permissions, and lawful basis needed to upload and process that content, including personal information and materials belonging to an employer or client.

You grant us a non-exclusive license to host, copy, process, transform, and transmit your content only as needed to provide, secure, maintain, and support the Service, comply with law, and follow your instructions. This includes sending relevant content to AI and other service providers and producing the output you request. It does not transfer ownership of your content to us or permit us to sell it or publish it for our own marketing without your permission.

To the extent we hold transferable rights in generated output, we assign those rights to you, excluding our software, templates, branding, and third-party materials. You may use output commercially subject to these Terms and applicable third-party rights. AI output may not be unique, copyright protection is not guaranteed, and other users may receive similar output. We do not warrant that output is free of third-party claims.

We and our licensors retain all rights in the Nryl platform, code, designs, and trademarks. You may provide suggestions voluntarily; you grant us permission to use that feedback without compensation, but this does not grant rights to confidential customer content embedded in it.

7. AI output and your review responsibilities

AI can produce inaccurate, biased, incomplete, or inappropriate material. You must review and, where appropriate, obtain qualified expert approval of scripts, images, narration, questions, answers, and other output before publishing or relying on it. Nryl is not a substitute for legal, medical, safety, regulatory, or professional advice and does not certify that a course meets an industry standard or legal training requirement.

You remain responsible for what you teach, publish, and distribute, including factual accuracy, accessibility, permissions, disclosures, and suitability for your audience. Do not impersonate a person, clone a voice, or use someone’s likeness without the required authorization. Third-party AI, voice, image, and media providers may apply additional restrictions to their outputs.

8. Acceptable use

  • Do not use the Service for illegal activity, fraud, harassment, exploitation, unlawful discrimination, or infringement of intellectual property, privacy, or other rights.
  • Do not upload malware, steal credentials, probe other customers’ accounts, bypass security or billing controls, or disrupt the Service.
  • Do not scrape or extract the Service at scale, reverse engineer it except where law expressly permits, or use automated access that we have not authorized.
  • Do not upload payment-card details, passwords, identity documents, regulated health information, or other highly sensitive personal data unless we have separately agreed to appropriate handling in writing.
  • Do not use the Service to train a competing model or reproduce our software. This does not prevent you from selling or delivering the training content you lawfully create.

9. Confidentiality and personal information

Each party will protect non-public information received from the other that is marked confidential or would reasonably be understood as confidential, use it only for the relationship under these Terms, and limit disclosure to people and service providers who need it for that purpose and are subject to appropriate confidentiality obligations. Customer content is treated as confidential; requesting processing or sharing with your team or chosen recipients is not a public disclosure by us.

This obligation does not cover information lawfully known already, independently developed, lawfully received without restriction, or made public without a breach. Legally compelled disclosure is permitted; where lawful, the receiving party will give notice and reasonably limit disclosure.

Our Privacy Policy describes personal-information handling, service providers, and international processing. If your organization requires a data processing agreement, specific residency commitments, or regulated-data protections, contact us and agree the necessary terms before uploading that data. These Terms do not represent that a separate DPA or transfer mechanism has already been executed.

10. Third-party services

The Service relies on third-party hosting, AI, voice, image, email, analytics, and payment services. Their availability and applicable terms can affect functionality. Your direct use of a third-party product is subject to its terms. We remain responsible for our own obligations under these Terms and applicable law, but cannot promise uninterrupted third-party availability.

11. Suspension, termination, and your data

You can stop using the Service and cancel renewal at any time. Contact us to request account closure or deletion. We may suspend access to address nonpayment, unlawful use, a material breach, or a security risk. Where reasonably practicable, we will explain the issue and allow an opportunity to resolve it; urgent risks may require immediate action. We may terminate for an unresolved material breach or discontinue the Service with reasonable advance notice where practicable.

Keep copies of important source materials and download available outputs while you have access. Available export formats depend on shipped features and do not guarantee export of every internal record or editable format. For a closure or suspension, contact support promptly about retrieving content; retrieval may be limited by law, security, and technical availability. We retain and delete data according to the Privacy Policy, including applicable legal obligations and backup cycles, rather than promising immediate deletion from every backup.

If we discontinue a prepaid service for reasons other than your breach, we will refund the unused prepaid subscription period. Termination does not extinguish accrued payment obligations or provisions that by their nature survive, including confidentiality, intellectual property, and liability provisions.

12. Warranties and disclaimers

To the fullest extent permitted by law, the Service and AI output are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free service, a specific business or learning outcome, compatibility with every LMS, or that generated content will meet your requirements.

Nothing in these Terms excludes a warranty, duty, remedy, or consumer protection that cannot lawfully be excluded.

13. Limits of liability

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or loss of profit, revenue, or business opportunity arising from these Terms or the Service.

Our total aggregate liability arising from these Terms or the Service is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim and (b) CAD $100. These exclusions and limits do not apply to fraud, willful misconduct, or liability that cannot lawfully be excluded or limited. They do not restrict your non-waivable statutory rights.

14. Third-party claims about your use

If you use the Service on behalf of a business, that business will defend and indemnify us against third-party claims, damages, and reasonable costs arising from its unlawful customer content, infringement of third-party rights by materials it supplies, or intentional misuse of the Service. This obligation does not cover claims caused by our breach, negligence, or misconduct. We will promptly notify you, reasonably cooperate, and allow you to control the defense; no settlement may admit fault or impose obligations on us without our reasonable consent.

15. Changes, governing law, and general terms

We may update these Terms and will post a new effective date. For material changes affecting existing customers, we will provide reasonable advance notice through the Service or account email where practicable, with any consent required by law. Changes do not retroactively alter accrued claims or agreed prepaid prices. If you do not accept a material change, stop using the Service and cancel renewal before it takes effect; mandatory legal remedies remain available.

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there. Subject to any mandatory right to use another court or law, disputes will be brought in the courts of Alberta. Please first contact us so we can try to resolve the issue. These Terms do not impose mandatory arbitration or waive non-waivable consumer rights.

Neither party is responsible for delays caused by events beyond its reasonable control, excluding obligations to pay amounts already due. If a provision is unenforceable, the remainder continues to apply. Failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our written consent; we may transfer them in a merger, reorganization, or business sale, subject to applicable privacy obligations. These Terms and any expressly agreed order or signed agreement form the agreement concerning the Service.
